NON RELATED PARTY TRANSACTIONS
Description Proposed Acquisition by MTrustee Berhad, on behalf of CapitaLand Malaysia Trust, of a single-storey industrial building/warehouse currently being constructed on two pieces of contiguous freehold lands located within Elmina Business Park, Sungai Buloh, Selangor, Malaysia from PTT Logistics Hub 1 Sdn. Bhd.

Reference is made to CLMT's announcement dated 2 December 2024 in relation to the Proposed Acquisition (“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein.

 

The Board wishes to announce as follows:

 

(a) all Conditions Precedent of the SPA had been fulfilled/obtained and the SPA had become unconditional on 26 May 2025;

 

(b) that MTrustee on behalf of CLMT has entered into a supplemental agreement with the Vendor on 26 September 2025 (“Supplemental Agreement”) to amend, vary and supplement certain terms and conditions of the SPA;

 

(c) CLMT has completed its payment obligation in respect of the Balance Purchase Price to CLMT's solicitors as stakeholders in accordance with the terms and conditions of the SPA (as amended, varied and supplemented by the Supplemental Agreement) on 26 September 2025, following which CLMT becomes the beneficial owner of the Property; and

 

(d) the final stage completion of the SPA is subject to CLMT’s solicitors retaining the Balance Purchase Price as stakeholders and only releasing such Balance Purchase Price in accordance with the terms of the SPA (as amended, varied and supplemented by the Supplemental Agreement).

 

The Supplemental Agreement provides that (a) the time period for the payment of the Balance Purchase Price has been varied from 3 months to 5 months, commencing from 26 May 2025, being the date upon which the SPA became unconditional; and (b) the relevant clauses of the SPA, particularly those concerning the manner of delivery of the new title pursuant to the amalgamation of the existing titles to the Lands (“Amalgamated Title”) and the procedures leading to the presentation of the transfer documents, have been amended to reflect the requirements arising from the amalgamation; and (c) the release of the remaining sum of the Balance Purchase Price (including all interest accrued thereon) by the Purchaser’s solicitors to the Vendor, after deductions as set out in paragraph 2.4.1(c)(i) to (iii) of the Announcement, shall only take place (thereby marking the final completion of the transaction) following the lapse of a period of 14 days after the presentation of the transfer documents at the relevant land registry or within 5 business days from the date of registration of the Amalgamated Title in favour of the Purchaser, whichever is the earlier.

 

A copy of the Supplemental Agreement is available for inspection at the Manager’s registered office at Unit No. 1-27, Level 27, Naza Tower, No. 10, Persiaran KLCC, 50088 Kuala Lumpur, Malaysia during normal business hours from Mondays to Fridays (except for public holidays) for a period of three (3) months from the date of this announcement.
